Clear expectations make better partnerships. These Terms explain how DodoFlow works with clients in the United States, how projects are managed, how payments and intellectual property are handled, and the rules governing our website and professional services.
By using this website, accepting a proposal, approving a project, paying an invoice, requesting that work begin, or otherwise purchasing our services, you agree to the applicable provisions of these Terms together with any project-specific proposal, quote, statement of work, invoice or written agreement.
Acceptance of Terms
These Terms & Conditions (“Terms”) govern access to the DodoFlow website and the purchase or use of services provided by DodoFlow (“DodoFlow,” “we,” “our,” or “us”).
“Client,” “you,” and “your” refer to the individual, company, organization or other entity requesting or purchasing services.
A project-specific proposal, quotation, statement of work, invoice, order, email confirmation or other written agreement may contain additional terms. Those documents are incorporated into the agreement for the applicable project.
If a project-specific written agreement expressly conflicts with these general Terms, the project-specific provision will control with respect to that project.
DodoFlow Services
DodoFlow provides creative, technical, digital marketing and business branding services.
The exact services and deliverables included in your project will be identified in your individual proposal, quotation or written project agreement.
Quotes, Proposals & Scope
Quotations and proposals are prepared using the information available when the quote is issued.
Unless expressly stated otherwise, pricing covers only the work and deliverables described in the applicable proposal or quotation.
Changes including new pages, additional concepts, new functionality, additional advertising campaigns, new platforms, additional design assets or substantial changes in direction may constitute additional scope.
DodoFlow may provide a supplemental quote or change order before completing work outside the original scope.
Fees, Deposits & Payment
Fees and payment schedules will be stated in the applicable proposal, quotation, invoice or written agreement.
DodoFlow may require a deposit, milestone payment or full payment before work begins.
Unless otherwise agreed, invoices are payable by the due date shown on the invoice.
DodoFlow may withhold editable source files, final transfers, administrative credentials, deployment, ownership assignments or production-ready assets until undisputed amounts owed for the applicable project have been paid.
Client is responsible for applicable taxes, third-party fees, advertising spend, subscriptions or external costs unless specifically included in writing.
Timelines & Project Scheduling
DodoFlow frequently works on accelerated project schedules. However, completion times depend on project complexity, client responsiveness, content availability and technical requirements.
Any delivery date that is not expressly guaranteed in a signed project agreement should be considered an estimated completion date.
- Client approval delays may extend the schedule.
- Missing content or credentials may pause production.
- Scope changes may require additional time.
- Third-party outages may affect delivery.
- Platform approval processes are outside DodoFlow's control.
Revisions & Change Requests
The revisions included in each project depend on the applicable proposal or scope of work.
A revision is a reasonable modification to work already produced within the approved creative or technical direction.
Requests for a substantially new concept, layout, website structure, campaign, feature, visual direction or deliverable may be considered additional work.
DodoFlow may quote additional fees before beginning a material scope change.
Client Responsibilities
Successful projects depend on accurate information, timely decisions and client cooperation.
You agree to provide, as applicable:
- accurate business information;
- brand assets and logos;
- photographs and video;
- copy and product information;
- website and hosting credentials;
- domain access;
- social-media access;
- advertising account access;
- approvals and feedback;
- legal disclosures applicable to your industry;
- any required permissions or licenses.
You represent that you have the necessary rights and authority to provide materials, credentials, trademarks, content and other information supplied to DodoFlow.
Intellectual Property Rights
Each party retains ownership of intellectual property it owned or developed independently before the applicable project.
DodoFlow retains ownership of its pre-existing systems, reusable code, frameworks, design methods, templates, internal tools, processes, workflows, techniques, know-how and other background intellectual property.
Rights to custom final project deliverables will be determined by the applicable written proposal or agreement and are subject to full payment.
Where DodoFlow expressly assigns copyright ownership to a client, that assignment will apply only to the deliverables specifically identified in the applicable written agreement.
Unless otherwise stated, DodoFlow's website copy, original graphics, animations, design systems, interfaces, layouts, brand assets, illustrations, videos and other original materials are owned by DodoFlow or used under applicable licenses.
Such materials may not be copied, reproduced, republished, resold, distributed or commercially exploited without authorization except as otherwise permitted by applicable law.
Third-party materials including fonts, stock media, plugins, software, frameworks, templates and licensed assets remain subject to the applicable third-party license.
Portfolio & Case Study Rights
Unless otherwise agreed in writing, DodoFlow may identify a client and display completed, publicly released work in our portfolio, website, social-media accounts, presentations, proposals, awards submissions and case studies.
We will not intentionally disclose confidential business information in connection with portfolio use.
If a project must remain confidential, please notify DodoFlow in writing before work begins.
Advertising & Marketing Campaigns
DodoFlow may create and manage advertising campaigns through platforms including Meta, Facebook, Instagram, Google and other digital networks.
Client is responsible for the accuracy, legality and substantiation of claims relating to the client's products, services, pricing, guarantees, testimonials and business operations.
DodoFlow does not guarantee any particular:
- number of leads;
- conversion rate;
- advertising return;
- revenue level;
- cost per acquisition;
- search ranking;
- social-media growth;
- platform approval.
Advertising performance depends on factors including budget, market demand, offer quality, competition, platform algorithms, targeting, pricing and customer behavior.
Third-Party Platforms & Services
DodoFlow projects may depend on independent third-party products, platforms or service providers.

- APIs
- analytics providers
- stock-media providers
DodoFlow does not control third-party uptime, pricing, security, policies, functionality, approval decisions or service changes.
Unless specifically included in writing, Client is responsible for third-party licenses, subscriptions, hosting, domains, advertising budgets, processing charges and application fees.
Cancellation, Pauses & Refunds
Cancellation and refund rights depend on the applicable project agreement, work already performed, expenses incurred and applicable law.
Unless a proposal states otherwise, amounts attributable to work already performed, custom work already created, third-party purchases, committed resources or nonrecoverable expenses may not be refundable.
If Client requests that a project be paused, DodoFlow may revise the project schedule based on future availability.
Any refund expressly approved by DodoFlow will normally be issued using the original payment method when reasonably practicable.
Acceptable Website Use
You may use the DodoFlow website only for lawful purposes.
You may not:
- attempt unauthorized access to our systems;
- disrupt website operation;
- introduce malware or harmful code;
- scrape protected content for unauthorized commercial use;
- impersonate another person or company;
- use our website to commit fraud;
- infringe intellectual-property rights.
DodoFlow may restrict access where reasonably necessary to protect the website, our systems, our users or our business.
Warranties & Disclaimers
DodoFlow will perform agreed professional services using reasonable care consistent with the nature of the applicable project.
Except for warranties expressly stated in a written project agreement and to the maximum extent permitted by applicable law, services are provided without additional warranties regarding specific commercial outcomes.
We do not warrant that third-party platforms will operate without interruption or that websites, advertisements or marketing campaigns will generate any particular level of sales, traffic, leads or profit.
Limitation of Liability
To the maximum extent permitted by applicable law, DodoFlow will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages arising from the services or website.
This may include loss of profits, business interruption, loss of expected revenue, loss of data or loss resulting from independent third-party platforms, except where such limitation is prohibited by applicable law.
Unless a separate signed agreement provides otherwise, DodoFlow's aggregate liability arising from a specific project will not exceed the amounts actually paid to DodoFlow for the portion of the services giving rise to the claim, to the extent permitted by applicable law.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable federal or state law.
Indemnification
To the extent permitted by law, Client agrees to be responsible for claims, losses or expenses arising from materials or instructions supplied by Client that:
- infringe another party's copyright;
- infringe a trademark;
- violate privacy or publicity rights;
- contain unlawful or deceptive claims;
- violate applicable law;
- are used contrary to Client's representations to DodoFlow.
This provision does not apply to the extent a claim results from DodoFlow's own unauthorized conduct or materials independently supplied by DodoFlow.
Confidentiality
DodoFlow will use reasonable measures to protect confidential information supplied for legitimate project purposes.
Confidential information generally does not include information that:
- is publicly available through no breach;
- was already lawfully known;
- is independently developed;
- is lawfully received from another source;
- must be disclosed by law or legal process.
Separate nondisclosure agreements may be entered into where appropriate.
Reviews & Testimonials
DodoFlow values genuine customer feedback.
Nothing in these Terms is intended to prohibit or penalize a customer for posting an honest review or expressing a genuine opinion about DodoFlow.
DodoFlow may request permission to display testimonials, customer comments, logos or project results in promotional materials.
Where permission has been granted, DodoFlow may format testimonials for presentation so long as the substantive meaning is not materially misrepresented.
Suspension & Termination
DodoFlow may suspend or terminate services where reasonably necessary, including when:
- invoices are materially overdue;
- required client cooperation is repeatedly unavailable;
- requested activity appears unlawful;
- there is fraud or attempted fraud;
- there is threatening or abusive conduct;
- the client materially breaches the project agreement.
Where reasonably practicable, DodoFlow will attempt to notify Client before terminating an active project.
Governing Law & Venue

To the extent permitted by applicable law, these Terms and disputes arising from them will be governed by the laws of the State of [YOUR BUSINESS STATE], without regard to conflict-of-law principles.
Subject to any applicable law providing otherwise, the parties agree that courts located in or serving [YOUR COUNTY], [YOUR BUSINESS STATE] will have jurisdiction over disputes arising from these Terms or DodoFlow's services.
Nothing in this section is intended to deprive a consumer of rights or protections that cannot lawfully be waived.
General Provisions
Entire Agreement
These Terms together with the applicable proposal, statement of work, invoice or written project agreement constitute the agreement relating to the applicable services.
Severability
If any provision is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
No Waiver
Failure to enforce a provision on one occasion does not necessarily waive the right to enforce it later.
Assignment
Neither party may assign material obligations under a project agreement where assignment would materially impair the other party's rights, except as otherwise agreed or permitted by law.
Electronic Communications
Project approvals, notices, proposals, invoices and other communications may be delivered electronically where appropriate.
Force Majeure
Neither party will be responsible for delays caused by circumstances beyond its reasonable control, including major service outages, natural disasters, government action, widespread internet failures or similar extraordinary events.

DodoFlow may update these website Terms periodically. The current version and effective date will be displayed on this page.
